1. Introduction
Welcome to Stanbury Computer Services Limited trading as GEMZ Web Design Studio (referred to as “GEMZ”).
By accessing or using our services, you agree to be bound by these Terms of Service (ToS). If you do not agree with these terms, please do not use our services.
2. Acceptance of Terms
By using our services, you confirm that you have read, understood, and agree to be bound by these ToS.
These terms may be updated from time to time, and it is your responsibility to check this page regularly for any changes.
Continued use of our services after any such changes constitutes your acceptance of the new terms.
3. Description of Services
GEMZ provides web design services, including but not limited to website creation, redesign, maintenance, and hosting.
4. User Responsibilities
- You agree to provide accurate and complete information when engaging our services.
- You are responsible for maintaining the confidentiality of your account information.
- You must not use our services for any illegal or unauthorised purposes.
5. Payment Terms
- All payments must be made in GBP (£).
- Late payments may incur additional charges.
- If your subscription includes website content updates, any other updates relating to the design and structure of the website will be charged at our standard website development rate.
- If your subscription does not include website content updates, all updates are charged at our standard website development rate.
- Our standard development rate is £80.00 per hour.
- Our minimum invoice fee is £80.00.
- For lump sum payments, 50% is due initially and this is non-refundable after work has started. The remainder is due before the website launch.
Customers will be informed of the estimated time and cost before any update work begins.
6. Intellectual Property, Copyright, and Use
The web design, content and digital assets created by GEMZ is protected by copyright laws.
For subscriptions:
- You are granted use of the design provided by GEMZ during your subscription period for one website.
- Websites using our design must be hosted on our servers.
For lump sum design fees without subscription:
- You are granted use of the design created by GEMZ for one website.
- You may host one website using our design on any server.
7. Confidentiality
- Both parties agree to keep confidential any proprietary information shared during the course of the service agreement.
- This confidentiality obligation remains in effect even after the termination of the agreement.
8. Termination
- Either party may terminate a subscription with one month’s written notice.
- Upon termination, any outstanding payments must be settled immediately.
- GEMZ reserves the right to terminate services if you breach any of these terms.
9. Limitation of Liability
- GEMZ is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Our liability is limited to the amount paid for the services in question.
10. Governing Law
These ToS are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
